End User License Agreement
EHRPro is a product of Nivzen Onlyne Deals LLP, known as Nivzen Technologies. This End User License Agreement (“EULA”) is a legal agreement between you (“Licensee”) and Nivzen Onlyne Deals LLP for the EHRPro software product, including installers, updates, documentation, and license keys (“Software”).
1. License grant
The Software is licensed, not sold. We may offer a 30-day free trial (currently 30 days when enabled on the website) so you can evaluate the product before purchasing. Upon payment of applicable fees for a paid license (or acceptance of a complimentary grant where offered) and subject to this EULA and our Terms & Conditions, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your clinic or facility’s internal operations during the licensed period.
Trial licenses are for evaluation only and convert to paid licenses when you purchase a plan. Paid license fees are generally non-refundable; see our Refund Policy.
2. License scope and devices
Your license covers the number of PCs, users, modules, and billing period specified in your plan, order confirmation, or license key. You may not exceed those limits without purchasing an appropriate upgrade.
Each production installation should use a valid license key or authorized offline license file issued for that facility or PC, as described in product documentation and support materials.
3. Permitted use
You may use the Software to manage clinic or hospital administration workflows supported by the product, including patient records, OPD, billing, pharmacy, and related features enabled by your plan.
You may make reasonable backup copies of the installer and local data backups required for disaster recovery, provided such copies are not used to circumvent licensing.
4. Restrictions
Except as permitted by applicable law, you may not:
- Copy, modify, adapt, translate, or create derivative works of the Software.
- Reverse engineer, decompile, or disassemble the Software.
- Rent, lease, lend, sell, sublicense, distribute, or make the Software available to third parties.
- Remove or alter copyright, trademark, or proprietary notices.
- Use the Software to build a competing product or service.
- Share license keys outside your licensed organization or PC scope.
5. Installation and activation
The Software is installed on supported Windows PCs at your premises. Activation requires a valid EHRPRO license key from the customer portal or an authorized offline license file where provided.
You are responsible for meeting system requirements, antivirus exclusions where needed, and secure storage of activation credentials.
6. Subscription validity, renewal, and updates
Your license is valid for the subscription period purchased (for example, monthly, half-yearly, or yearly). Updates, bug fixes, and support are provided during an active subscription as described on our Pricing and Support pages.
When a subscription expires, you may lose access to new updates and certain support services. Existing local data generally remains on your device, subject to product behavior at expiry.
7. Ownership
Nivzen Onlyne Deals LLP and its licensors retain all right, title, and interest in the Software, including all intellectual property rights. No ownership of the Software is transferred to you under this EULA.
8. Customer data
You retain ownership and control of patient, staff, and clinic data entered into the Software on your devices. We do not claim ownership of your clinical records. You are responsible for lawful processing, consent where required, backups, and security of that data.
Website, account, and payment data is handled under our Privacy Policy, separate from local clinical databases.
9. Third-party and open-source software
The Software may include third-party libraries or open-source components subject to their own licenses. Nothing in this EULA limits your rights under those component licenses where applicable. Third-party services integrated at your request (for example, payment gateways on the website) are governed by their own terms.
10. Support
Support is available through channels listed on our Support page during an active license, on a reasonable-efforts basis. We do not guarantee specific response times unless agreed in writing.
11. Termination
This EULA is effective until terminated. It terminates automatically if you breach its terms or our Terms & Conditions. We may terminate or suspend a license for non-payment, fraud, or misuse.
Upon termination, you must stop using the license key for new installations and updates. Sections that by nature should survive (including ownership, disclaimers, and liability limits) will survive termination.
12. Warranty disclaimer
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SOFTWARE IS A TOOL TO ASSIST CLINIC ADMINISTRATION; IT IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL JUDGMENT.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM THIS EULA OR THE SOFTWARE SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA ON YOUR LOCAL DEVICES.
14. Governing law and jurisdiction
This EULA is governed by the laws of India. Courts at Ahmedabad, Gujarat shall have exclusive jurisdiction, subject to applicable law.
